(a) copies of all resolutions of members passed otherwise than at general meetings; and (b) minutes of all proceedings of general meetings along with the names of participants, to be entered in properly maintained books; (2) Minutes recorded in accordance with sub-section (1), if purporting to be authenticated by the chairman of the meeting or by the chairman of the next meeting, shall be the evidence of the proceedings at the meeting.
